1. Parties and Scope

These Terms and Conditions ("Terms") govern the relationship between Northvane Sdn Bhd ("Northvane", "we", "us", or "our"), registered and operating from Level 12, Wisma Pantai, 1 Lebuh Pantai, 10300 George Town, Penang, Malaysia, and any individual ("you" or "participant") who accesses this website, submits an enquiry, or enrols in a Northvane course.

These Terms should be read alongside our Privacy Policy and Cookie Policy, which are incorporated by reference.

2. Course Enrolment

Northvane offers structured financial education programmes designed for adults in their forties and beyond. Our current course offerings are as follows:

Enrolment is confirmed upon receipt of full payment and a written confirmation from Northvane sent to the email address you provided. We reserve the right to decline an enrolment where a course is fully subscribed or where we reasonably determine that the content is not suited to a particular participant's circumstances.

Course fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes where noted. All materials, worksheets, and discussion-forum access included in a course are described in the relevant course outline and are not individually transferable.

3. Payment

Full course fees are payable prior to access being granted, unless a written instalment arrangement has been agreed in advance. Accepted payment methods will be communicated at the point of enrolment.

Northvane does not store card or banking details. All payment processing is handled by third-party providers who maintain their own security and privacy standards. You are encouraged to review the relevant provider's policies before completing a transaction.

Receipts will be issued to the email address provided at enrolment. If you require a formal invoice for employer reimbursement, please request one at the time of payment.

4. Cancellation and Refunds

We understand that circumstances change. Our cancellation terms are as follows:

• More than 14 days before course commencement: Full refund, less a RM 50 administrative fee.
• 7 to 14 days before course commencement: 50% refund of the course fee paid.
• Fewer than 7 days before commencement, or after access has been granted: No refund is available, though you may transfer your enrolment to a future cohort, subject to availability.

To request a cancellation or transfer, please write to [email protected] with your full name, course name, and payment reference.

If Northvane cancels or materially restructures a course prior to its commencement, participants will receive a full refund of the course fee or the option to transfer to an equivalent programme at no additional cost.

5. Course Access and Materials

Recorded sessions, worksheets, reference sheets, and other downloadable materials are provided for personal educational use only. You may not distribute, reproduce, sell, or sub-licence any course material in whole or in part without prior written consent from Northvane.

Access to recorded sessions and moderated discussion groups will remain available for twelve months from the date of your enrolment confirmation, after which access may be withdrawn. We will endeavour to notify you in advance of any material change to access arrangements.

Materials reflect the regulatory and market environment as at the date of production. Financial rules, tax treatment, and instrument characteristics may change over time. Northvane will update materials where practically feasible but cannot guarantee that all content will be current at the time you access it. You are encouraged to verify important details with a qualified adviser before acting on any information presented.

6. Educational Purpose — Not Financial Advice

Nothing presented in any Northvane course, material, discussion group, or facilitator session should be construed as a recommendation to buy, sell, hold, or otherwise deal in any financial instrument, property, or other asset. Participants are encouraged to seek independent professional advice tailored to their personal circumstances before making financial decisions.

Northvane is not licensed by the Securities Commission Malaysia or Bank Negara Malaysia to provide investment advice or financial planning services.

7. Participant Conduct

Our moderated discussion groups and live review sessions are designed to be a respectful, considered environment for adults approaching financial topics thoughtfully. Participants are expected to engage courteously with facilitators and fellow participants.

Northvane reserves the right to remove a participant from a discussion group or live session — without refund — if their conduct is disruptive, offensive, or in breach of any applicable law, including but not limited to Malaysia's Communications and Multimedia Act 1998.

Participants must not share login credentials, session links, or course materials with persons who have not enrolled in the relevant course.

8. Intellectual Property

All course content, written materials, recorded sessions, worksheets, website copy, and visual designs associated with Northvane are the intellectual property of Northvane Sdn Bhd or its licensors and are protected under Malaysian copyright law and applicable international conventions.

Enrolment grants a personal, non-exclusive, non-transferable licence to use the materials for private study. This licence does not transfer ownership of any intellectual property.

9. Limitation of Liability

To the extent permitted by Malaysian law, Northvane's total liability to a participant in connection with any course, material, or service shall not exceed the course fee paid by that participant for the relevant programme.

Northvane accepts no liability for any financial loss, investment outcome, or tax consequence arising from a participant's reliance on course content, whether or not accompanied by independent advice.

Nothing in these Terms excludes or limits liability for death, personal injury, or fraud caused by Northvane's negligence.

10. Website Use

This website is provided for informational and enrolment purposes. Northvane takes reasonable steps to keep content accurate and accessible but does not warrant that the site will be available at all times or that information is free from error.

You agree not to use this website in any way that could damage its operation, interfere with other users' access, or violate any applicable law. Northvane reserves the right to restrict or terminate access to any person who misuses the site.

11. Amendments to These Terms

Northvane may update these Terms from time to time to reflect changes in our services, legal obligations, or operational practice. The "Last Updated" date above indicates when the current version came into effect.

Where an amendment materially affects the rights of currently enrolled participants, we will notify those participants by email at least 14 days before the change takes effect. Continued use of our courses or website after that date constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the non-exclusive jurisdiction of the courts of Malaysia.
